1. AGREEMENT. This agreement ("Terms and Conditions") doing business as and hereinafter referred to as NCS Network ("NCS Network") and the customer ("Customer"), represents the complete understanding and agreement between NCS Network and Customer. This agreement establishes Customer’s rights and obligations when using any of NCS Network’s services. NCS Network reserves the right to change its policy at any time to meet the needs of our customers, changing laws and new technology. It is Customer's sole responsibility to ensure that Customer is up to date on the most current version of the NCS Network Terms and Conditions.

2. CONTENT. NCS Network services may be used for lawful purposes only. Customer may not submit, publish, or display on the NCS Network network any defamatory, illegal, abusive, obscene, infringing, or threatening content. In addition, Customer may not submit, publish, or display any content in violation of any Canadian, International, Federal, Provincial or Local law. Customer is solely responsible for the content that they make accessible while using NCS Network's servers and networks. Customer may not use the service to assist any other person or entity to violate any Canadian, International, Federal, Provincial, or Local laws, ordinances, or regulations. Customer acknowledges that if NCS Network is made aware of content that is determined to be, at the sole discretion of NCS Network, unacceptable, undesirable, offensive, indecent, obscene, excessively violent or otherwise objectionable, NCS Network has the right, but not the obligation, to edit, remove or deny access to such content. NCS Network may disclose any content or records concerning customer's account as required satisfying any legal requirement, regulation, Government request or court order

3. ILLEGAL ACTIVITIES. Engaging in any activity that, in NCS Network's sole and absolute discretion, disrupts, interferes with or is harmful to (or threatens to disrupt, interfere with, or be harmful to) the Services, NCS Network's business, operations, reputation, goodwill, customers and/or customer relations, or the ability of NCS Network's customers to effectively use the Services is prohibited. When NCS Network becomes aware of any violation of this Policy, NCS Network may take any action to stop or correct such violation, including, but not limited to, shutting down a website, denying access to the Services or to the Internet, and/or removing information

4. DOMAIN REGISTRATION SERVICES. At Customer’s request, NCS Network may acquire and/or manage a Domain Name on behalf of Customer. NCS Network will not own or otherwise control any domain name registered under Customer. NCS Network provides this service as a convenience to Customer and thereby waives any and all claims which Customer may have, or which may later arise, against NCS Network for any and all damages, losses, claims or expenses arising or related to the acquisition, registration and/or use of the Domain Name. NCS Network will not be liable for any problems that arise from third party providers. Any costs incurred by NCS Network to obtain the Domain Name for Customer shall be charged to Customer.

5. CANCELLATION 0F SERVICE. Customer must notify NCS Network in writing 30 days prior to formally canceling account with NCS Network to avoid further charges. Domain Name Registration CAN NOT be cancelled. As the purchaser of the Domain Name, Customer is the Domain Name owner until the term of the Domain Names registration expires. NCS Network reserves the right to cancel service for any reason without prior notice.

6. LIMITATION OF LIABILITY. NCS Network and its contractors shall not be liable for any direct, indirect, incidental, special or consequential damages resulting from the use or inability to use any of the Services or for the cost of procurement of substitute services. NCS Network disclaim any and all loss or liability resulting from, but not limited to: (1) loss or liability resulting from access delays or access interruptions; (2) loss or liability resulting from data non-delivery or data mis-delivery; (3) loss or liability resulting from acts of God; (4) loss or liability resulting from the unauthorized use or misuse of your Account Identifier or Password; (5) loss or liability resulting from errors, omissions, or misstatements in any and all information or services(s) provided under this Agreement; (6) loss or liability resulting from the development or interruption of Customer Web site(s) or email service. Customer agrees that NCS Network will not be liable for interruption of business, or any indirect, special, incidental, or consequential damages of any kind (including lost profits) regardless of the form of action whether in contract, tort (including negligence), or otherwise, even if NCS Network has been advised of the possibility of such damages. In no event shall our maximum liability exceed the actual dollar amount paid by Customer for the Services which gave rise to such damages, losses and causes of actions during the 3-month period prior to the date the damage or loss occurred or the cause of action arose.

7. INDEMNIFICATION. Customer agrees that it will protect, indemnify, save and hold NCS Network harmless from any and all stipulations, liabilities, losses, expenses and claims, as well as reasonable attorney's fees assessed against NCS Network, its agents, customers, officers, employees and administration that may arise or result from any service provided or performed or agreed to be performed by its customers, agents, employees or assigns.

8. DISCLAIMER. NCS Network will not be responsible for any damages Customer’s business may suffer. NCS Network makes no warranties of any kind, expressed or implied for services provided. The services provided under this agreement are provided on an as is, as available basis. NCS Network disclaims any warranty or merchantability or fitness for a particular purpose. This includes data loss resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions of any kind caused by NCS Network.
